Seller agreement
Last updated 18 Oct 2026
This agreement is between ecommerce-platform Co., Ltd. ("we") and the brand that accepts it ("you"). It applies from the moment the brand owner or a team member accepts an invite to the seller center.
What we do
We list your shop and products on ecommerce-platform, send you orders, give you tools to confirm payments, ship, handle returns and run campaigns, and keep your prepaid commission balance in the seller center, with a monthly summary and a receipt for each top-up.
What you do
- Describe your products accurately, keep stock and prices up to date, and only sell items you're allowed to sell.
- Hold the buyer's payment yourself: buyers pay you directly by PromptPay or bank transfer. Check each slip against your account before confirming.
- Ship within the processing time on your shop, add tracking, and follow your stated return policy, which must accept returns for at least 7 days after delivery.
- Answer us promptly when a buyer reports that a paid order hasn't shipped. We may pause your checkout until it's resolved.
- Refund buyers directly when you cancel a paid order or accept a return, and upload the refund slip.
- Look after buyers' personal data: use it only to fulfil and support their orders, keep it secure, and delete it when you no longer need it. You are a separate data controller for your orders under the PDPA.
- Issue any tax invoices or receipts your buyers are entitled to.
Commission and your balance
- You pay commission at the rate in your seller center, on each item's final price after discounts (campaigns and codes) and refunds. Shipping is never included. The rate in force when an order is placed is the rate that applies to it; we give you notice before changing it.
- You pay commission in advance, from a prepaid commission balance in your seller center. You top it up by bank transfer or PromptPay to us: choose an amount, transfer it to the account shown and upload the slip. We confirm the top-up and email you a receipt number, usually within two working days.
- When a buyer places an order, we hold that order's commission from your balance, and release the hold if the order is cancelled or expires unpaid. When the order completes (after delivery and the return window, with no open return), we take the commission from your balance; a refund made before then lowers it. If a refund on a completed order is confirmed later, we credit the commission on the refunded part back to your balance.
- We may add free promo credit to your balance. It's spent before your paid credit, can't be withdrawn or refunded, and is removed if your balance closes.
- We may let your balance go below zero, down to a credit allowance we set for you. The allowance is ฿0 unless we set another amount.
- If your balance can't cover the commission on a new order, buyers can still see your products, but checkout on your shop is temporarily unavailable until you top up. We don't tell buyers why. We email your team when your balance covers only a few typical orders, and again when it runs out.
- The seller center shows a monthly summary of your balance: opening balance, top-ups, promo credit, commission taken, credit-backs, refunds of unused balance and closing balance. Monthly statements from before the prepaid balance stay viewable, and an unpaid one can still be paid on its statement page as before.
Content
You keep ownership of your brand, photos and product content and give us a licence to use them to run and promote the marketplace.
Suspension and ending
Either of us can end this agreement with 30 days' notice. We may pause or unpublish your shop straight away for serious or repeated breaches or fraud. You still owe commission on orders placed before the end, and you must complete or refund those orders. Once they're finished, we refund the unused paid part of your balance by bank transfer and close the balance; promo credit isn't refunded.
Liability
You're responsible for your products and your contracts with buyers, and you'll cover our reasonable losses from claims about them. To the extent the law allows, neither of us is liable for indirect loss.
Law
This agreement is governed by Thai law, and the courts of Thailand have jurisdiction.
